| 1 | Contract Formation and Terms and Conditions |
| 1.1 | If you become a member of MedMaps.co.uk, a contract between you and MedMaps.co.uk, incorporating these Terms and Conditions, will come into force. MedMaps.co.uk may refuse to accept anyone as a member, without giving any reason. |
| 1.2 | MedMaps.co.uk reserves the right at any time to add to, change or delete from the services it provides and the facilities available via this site (the MedMaps.co.uk services). |
| 1.3 | In return for MedMaps.co.uk providing access to this site and its services, you agree to these Terms and Conditions. |
| 1.4 | MedMaps.co.uk may change these Terms and Conditions or its Privacy Policy (or both) at any time without notice, either by publishing the change or the amended version on this site or by sending it to you by e-mail. The change will be effective as from the date of the posting or e-mail. |
| 2 | The Site and Services |
| 2.1 | MedMaps.co.uk aims to make this site and MedMaps.co.uk services available 24 hours a day, seven days a week, but reserves the right to suspend access to this site and any or all of those services at any time, without notice, for maintenance purposes, or if MedMaps.co.uk suspects that there has been any breach of security, a breach of these Terms and Conditions, or any unlawful use of this site or those services. MedMaps.co.uk may, at its discretion, restrict the use of this site and any or all of the MedMaps.co.uk services, or limit their availability. |
| 2.2 | MedMaps.co.uk reserves the right to introduce charges, terms and conditions relating to the payment of those charges, and to review and amend charges for access to this Site and the MedMaps.co.uk services. You will be given at least 30 days' notice of any new payment terms and conditions or any new or increased charges, and the opportunity to cancel your membership before those charges or terms come into effect. |

| 3.1 | As a condition of receiving the MedMaps.co.uk services, you agree to receive and acknowledge a regular Newsletter, (the Newsletter) distributed by e-mail. The Newsletter will contain information carefully targeted to the website’s audience. |

| 4.6 | Not be involved in any criminal or unlawful activity, or post any information or material which might be legally actionable; |
| 4.7 | Not introduce into this site or any MedMaps.co.uk service, any virus, logic bomb, harmful code, trojan horse or anything else that might corrupt, damage or render inaccessible any software, data or system; |
| 4.8 | Comply with all your obligations to third parties such as internet service and software providers; |
| 4.9 | Not seek redress from MedMaps.co.uk if you suffer loss or damage, or if you are harmed, defamed or offended by material, information, products or services which you accessed or obtained through or which were posted on this site or any MedMaps.co.uk service; |
| 4.10 | Not post or send any libellous, defamatory, obscene, derogatory, menacing, offensive, pornographic, or indecent material to this site or via any MedMaps.co.uk service. |
| 4.11 | Obtain all necessary permissions from MedMaps.co.uk to display, transmit, or distribute intellectual property obtained from this website. |
| 4.12 | Obtain patient consent before posting any material on this site that includes identifiable or potentially identifiable case material; |

| 7.12 | You will indemnify MedMaps.co.uk and keep it indemnified against all and any losses, damages, liabilities, costs and expenses arising in connection with your breach of any of these Terms and Conditions or arising as a result of a third party accessing or using this site, any content or any MedMaps.co.uk service by means of your password or user ID. |
| 7.13 | The maximum liability of MedMaps.co.uk to you in connection with this site, any content and any services, or the failure to provide any of the same, is £1 or the aggregate of sums you have paid to MedMaps.co.uk in the 12 months immediately before the cause of action to which your claim relates, arose (whichever is the greater). |
| 8 | Termination |
| 8.1 | If you are dissatisfied with the services provided by MedMaps.co.uk or any feature provided in or through this site, you may terminate your membership by giving not less than 7 days' notice to help@medmaps.co.uk. This is your sole remedy if you are dissatisfied with this site or any such service. |
| 8.2 | Your membership may be terminated by you or by MedMaps.co.uk at any time by giving the other seven days notice. In addition, MedMaps.co.uk may terminate or suspend your membership and access to this site and any service at any time without notice if you breach or are suspected of having breached these Terms and Conditions, if you cease to meet the criteria from time to time for access to or use of this site or any service, or if your agreement with any internet service provider for access or connection to the internet is terminated for any reason. |
| 8.3 | Conditions 1, 6, 7, 8.2, 9 and 10 will survive termination and continue indefinitely. |
| 9 | Intellectual Property Rights |
| 9.1 | This site, its contents and information, and the MedMaps.co.uk services and their content and information, are protected by copyright, database rights and other intellectual property rights. |
| 9.2 | You assign to MedMaps.co.uk the copyright in all material that you post to this site (except for e-mails, notes, and comments). You will always be credited as the author of any work you submit. |
| 9.3 | Subject to any conditions
specific to any service, you may read, print and download parts of the

for your private, non-commercial use or use in the ordinary course of
the your profession, but you may not make any profit from the use of

| 10.2 | You may not assign or transfer your membership to, or share or sublicense the advantages of membership of MedMaps.co.uk with, any other person. |
| 10.3 | MedMaps.co.uk may assign or sub-contract its rights or obligations (or both) to any third party. |
| 10.4 | If any part of any of these Terms and Conditions is invalid or unenforceable, it will not affect any other provision and all other provisions will remain in full force and effect. |
| 10.5 | These Terms and Conditions, and the contract between you and MedMaps.co.uk, are governed by the laws of England and Wales and you agree to submit to the jurisdiction of the courts of England and Wales. |
| 10.6 | These terms and conditions, together with the Privacy Policy, any conditions specific to any MedMaps.co.uk service and any rules that MedMaps.co.uk publishes from time to time governing the criteria for access to this site or any service, are the complete and exclusive statement of the agreement between MedMaps.co.uk and you in relation to the use of this site, its contents and any MedMaps.co.uk service. They supersede any proposal or prior agreement, oral or written, and any other communications between MedMaps.co.uk and you relating to their subject matter. |
